Step-by-Step Guide to Setting up a

Software Company in Singapore

Step 1: Decide on the business structure of the company
    • Common options for software companies include Private Limited Company (Pte Ltd), Sole Proprietorship and Partnerships. Conduct your research to choose the legal structure that best suits your company.
    • Register your company with the Accounting and Corporate Regulatory Authority (ACRA). Registration includes choosing a company name, appointing directors and providing a registered office address.
Step 2: Apply for the Necessary Licenses and Permits
    • Depending on the nature of your business, you may be required to obtain licenses. One common example is Infocomm Media Development Authority (IMDA) Licensing.
    • Companies that handle customers’ personal data should also comply with Singapore’s Personal Data Protection Act (PDPA) and implement the necessary data protection measures.
Step 3: Set Up Business Operations
    • Register for the relevant taxes via IRAS. Companies with annual revenue exceeding SGD 1 million should register for GST (currently 9%).
    • Open a corporate bank account to manage your company’s finances.
    • Set up accounting and bookkeeping systems to maintain compliance with Singapore’s financial regulations.
    Step 4: Hire Employees

If you plan to hire foreign employees, you will need to apply for the relevant passes (Employment Pass, S Pass etc) depending on employees’ qualifications and salary. Application for these passes is via the Ministry of Manpower website.

Singapore’s efficient regulatory environment and various incentives for startups fosters an environment beneficial for companies looking to establish their software business. However, complying with many rules and regulations can often seem like an uphill battle.
